Terms of Service

These Terms of Service govern your access to and use of the ASTERIA KYC platform, APIs, SDKs, and related services ("Services") provided by ASTERIA KYC Ltd ("ASTERIA", "we", "our"). By accessing or using the Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing the API, or using any component of the Services, you confirm that you have read, understood, and agree to these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not use the Services.
2. Description of Services
ASTERIA KYC provides identity verification, document verification, liveness detection, deepfake defense, AML screening, risk scoring, human review, and case management services delivered via API, SDK, and dashboard interfaces. Service features, availability, and limitations are documented at developers.asteriakyc.com and may be updated from time to time.
3. Account Obligations
You are responsible for maintaining the confidentiality of your API credentials and account access. You must not share API keys, allow unauthorised access to your account, or use the Services in a manner that violates applicable law. You must notify ASTERIA immediately of any suspected unauthorised access or security breach.
4. Acceptable Use
You may use the Services only for lawful purposes and in accordance with applicable regulations in your jurisdiction. You may not use the Services to process data without the lawful basis required by applicable data protection law, to conduct verification of individuals without appropriate consent or legal authority, to circumvent technical or legal safeguards, or for any fraudulent, deceptive, or harmful purpose.
5. Fees and Payment
Service fees are set out in your Order Form or as published on the pricing page. Fees are invoiced monthly in arrears unless otherwise specified. All fees are exclusive of applicable taxes. Overdue invoices accrue interest at 1.5% per month. ASTERIA reserves the right to suspend access for non-payment after 14 days' notice.
6. Data Processing
ASTERIA acts as a data processor with respect to personal data submitted for verification. A Data Processing Agreement (DPA) is available and may be required depending on your jurisdiction. You are responsible for ensuring you have the lawful basis to submit personal data for processing. The Privacy Policy details how ASTERIA processes data in its capacity as data controller.
7. Intellectual Property
ASTERIA retains all intellectual property rights in the Services, APIs, SDKs, and related technology. You retain ownership of your data submitted for processing. You are granted a limited, non-exclusive, non-transferable licence to use the Services as described in these Terms. You may not reverse-engineer, decompile, or create derivative works from any component of the Services.
8. Confidentiality
Each party agrees to keep the other's Confidential Information (including pricing, technical specifications, and business information shared in connection with the Services) confidential and to use it only for the purposes of these Terms. Confidentiality obligations survive termination for five years.
9. Warranties and Disclaimers
ASTERIA warrants that the Services will perform materially in accordance with their documentation. THE SERVICES ARE PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. ASTERIA MAKES NO WARRANTY THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY PARTICULAR VERIFICATION RESULT IS ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR YOUR COMPLIANCE DECISIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASTERIA'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. ASTERIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
11. Term and Termination
These Terms remain in effect while you use the Services. Either party may terminate for material breach on 30 days' written notice if the breach is not remedied. ASTERIA may suspend or terminate access immediately for violation of the Acceptable Use policy, non-payment, or where required by law. Provisions that by their nature should survive termination will do so.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this clause limits ASTERIA's right to seek injunctive relief in any jurisdiction.
13. Changes to Terms
ASTERIA may update these Terms from time to time. Material changes will be communicated via the dashboard or by email to account administrators at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
